1. Agreement to Terms

By accessing or purchasing from W2R Sciences, a trade name of W2R LLC (the "Company," "we," "us," or "our") at https://w2rsciences.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site.

2. Research Use Only — Critical Notice

ALL PRODUCTS SOLD ON THIS SITE ARE INTENDED SOLELY FOR IN VITRO RESEARCH AND LABORATORY USE.

By placing an order, you represent, warrant, and agree that:

You are a qualified researcher, licensed professional, or institutional buyer purchasing for legitimate scientific research purposes only.
The products will not be used for human or animal consumption, therapeutic application, or any use other than controlled laboratory research.
You understand and accept that these compounds have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for safety, efficacy, or use in humans or animals.
You are 21 years of age or older.
The purchase, possession, and use of these products complies with all applicable federal, state, and local laws in your jurisdiction.
You accept sole responsibility for ensuring legal compliance in your jurisdiction before ordering.

2A. Buyer Representations and Research-Use Covenant

As a condition of each purchase, and by certifying the research-use attestation presented at registration and at checkout, you represent, warrant, and covenant to W2R Sciences, a trade name of W2R LLC ("W2R"), that:

You are at least 21 years of age.
Any products you obtain from W2R are solely for laboratory research use. You understand and agree that all W2R products are furnished for research use only and are not intended for human or veterinary use of any kind, including consumption, therapeutic, diagnostic, or cosmetic use, or use in food, drugs, or medical devices.
You will not use, and will not permit any other person to use, these products for any such purpose.
Each order you place is placed solely for research and laboratory use, and no product in any order will be used for human or veterinary purposes of any kind.

These representations are made by you, the buyer. W2R does not independently verify or confirm the truth of these representations; it relies on your certification as a condition of sale. Each certification is recorded with the wording version identifier in effect at the time of your assent.

Indemnification for Research-Use Violations. You agree to indemnify, defend, and hold harmless W2R LLC, its trade names, officers, members, employees, and agents from and against any and all claims, damages, liabilities, losses, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to any use of the products in violation of the research-use-only restriction set forth in these Terms, whether by you or by any person to whom you transfer or make the products available. This obligation is in addition to, and does not limit, the general indemnification set forth in Section 9.

3. Eligibility

You must be at least 21 years of age to purchase from this Site. By placing an order, you represent that you meet this requirement. We reserve the right to refuse service, cancel orders, and close accounts at our sole discretion.

4. Products and Descriptions

We make reasonable efforts to accurately describe our products, including Certificate of Analysis (COA) documentation from the manufacturer's laboratory. However:

Product descriptions are for informational purposes only.
COA data reflects the tested batch and should not be construed as a claim of purity, efficacy, or fitness for any particular purpose.
We do not make any therapeutic, medical, or health claims regarding our products.

We reserve the right to limit quantities, discontinue products, or modify product offerings at any time without notice.

5. Orders and Payment

By submitting an order, you make an offer to purchase subject to these Terms. We reserve the right to accept or reject any order. A binding contract is formed when we confirm your order by email.

You agree to provide accurate, current, and complete payment and shipping information. We reserve the right to cancel orders where fraudulent activity is suspected.

Prices are listed in U.S. dollars and are subject to change without notice. We are not responsible for pricing errors; we reserve the right to cancel any order placed at an incorrect price.

6. Intellectual Property

All content on this Site — including text, graphics, logos, COA documents, images, and software — is the property of W2R Sciences, a trade name of W2R LLC or its content suppliers and is protected by U.S. and international copyright law. You may not reproduce, distribute, or create derivative works without express written permission.

7. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THIS SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, W2R SCIENCES, A TRADE NAME OF W2R LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, DATA LOSS, PERSONAL INJURY, OR PROPERTY DAMAGE — ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless W2R Sciences, a trade name of W2R LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or products; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any claim that your use of the products caused harm to a third party.

10. Prohibited Uses

You agree not to:

Use products for human or animal therapeutic purposes.
Resell products without authorization.
Use the Site to engage in fraudulent, unlawful, or harmful activity.
Attempt to circumvent age verification or purchase restrictions.
Use automated tools to scrape or extract Site content.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the products shall first be subject to informal negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Wyoming. Class action and jury trial rights are waived to the fullest extent permitted by law.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, Research Use Policy, Shipping Policy, and Returns Policy, constitute the entire agreement between you and W2R Sciences, a trade name of W2R LLC regarding your use of the Site.
